What is ESR and does it apply to my company?
Economic Substance Regulations require UAE companies in certain sectors to demonstrate genuine economic activity in the UAE. Relevant sectors include banking, insurance, fund management, holding companies, IP, headquarters, distribution, shipping, and lease finance. All UAE licensees must file an annual ESR notification; those in relevant activities must also file a substance return. We assess your ESR position and handle all required filings.
What is a UBO and what are my filing obligations?
The Ultimate Beneficial Owner is the natural person who ultimately owns or controls your company. Under UAE law, all free zone licensees must create and maintain a UBO Register and a Partners/Shareholders Register within 60 days of formation. Any changes must be updated within 15 days. Non-compliance can result in significant penalties and license suspension. We manage UBO filing for all clients as part of our formation and compliance services.
Does my company need to register on goAML?
goAML registration is required if your business qualifies as a Designated Non-Financial Business or Profession (DNFBP) under UAE AML regulations — including real estate agents, dealers in precious metals or stones, lawyers, accountants, auditors, and trust or company service providers. We assess your DNFBP status and assist with registration and AML policy preparation if required.
Can I operate on the UAE mainland with a free zone license?
Yes, with the appropriate approvals. Free zone companies can obtain a No Objection Certificate and DED/DET approval to conduct business on the UAE mainland without requiring a separate mainland license. We manage the full approval process with the relevant authorities.
